Job Description

The Responsibilities associated with this position include:

  1. Technical Support – Compliance
    • Administer and maintain the legal and regulatory compliance registers (“LRCR”) by monitoring and updating the status of compliance obligations, providing courtesy reminders to responsible officers of upcoming significant deadlines, keeping electronic copies of the pertinent permits, licenses and contracts, and designing innovations, solutions and improvements to the LRCR;
    • Provide legal documents (corporate documents, affidavits, certifications, other documents under the custody of Legal Affairs) to support applications for issuance/renewal of permits and licenses and other submissions to governmentagencies;
    • Lead, participate or assist in other compliance-relatedactivities.
  2. Technical Support – Legal Services
    • Assist the Legal Affairs team in the delivery of legal services and in the provision of day-to-day legal support to its internal customers in accordance with relevant service level agreements (“SLAs”), and in the achievement of the Department’s strategies and objectives;
    • Perform legal research, investigation and leg work related to various issues and concerns of the organization and draft legal opinions/memos under the supervision of lawyers in the Legal Affairs team;
    • Perform contracts management services for routine contracts, including development/improvement of standard templates, contract preparation, review and finalization;
    • Assist the lawyers in the team in the drafting, review and finalization of non-routine contracts, pleadings and their annexes, submissions, reports, correspondences, compliances and other legal documents;
    • Facilitate the filing, service and transmittal of pleadings and legal documents to the proper courts, government agencies and other parties;
    • Provide proactive assistance in the participation in Competitive Selection Processes (“CSP”), by providing legal documents, reviewing the bid package prior to submission to ensure compliance with the bid documents and performing other deliverables in accordance with the internal responsibility matrix and/or audit checklist for CSPs;
    • Prepare, update, disseminate and implement checklists, procedural step-plans and timelines for legal procedures and processes, such as applications for approval by the ERC (for PSAs, ASPAs, P2P, etc.) and other cases or applications that SNAP is a party to or has an interest in;•Collect and gather case evidence, testimonies, documents and information required to support case pleadings and/or to build up/establish a legal position/argument, and identify and coordinate with witnesses and other resource persons within the Organization;
    • Coordinate with Corporate Secretary’s office for requests for issuance of corporate documents such as Secretary’s Certificates, certified copies of Articles or Bylaws and General Information Sheets;
    • Assist in special projects and transactions.
  3. Administrative Support and Liaising
    • Maintain the Legal Affairs Data Room (both physical and electronic), update casefiles and summaries and manage the filing system of the Department;
    • Act as a point of contact for the Legal Affairs team, and coordinate/liaise/build relationships with external counsels, functional groups, internal customers, external customers, regulators, courts, government agencies and identified stakeholders of the Legal Affairs Department;
    • Monitor timeliness in the delivery of legal services by the Legal Affairs team in accordance with legally-mandated deadlines and SLA timelines;
    • Prepare team reports, proposals and presentations;
    • Provide comprehensive administrative support to meetings of the Legal team;
    • Handle the printing, reproduction, scanning, binding, notarization and execution of legal documents, pleadings and annexes, and other submissions;
    • Draft letters, correspondences and transmittal memos;
    • Handle finance-related matters of the Department, including the monitoring of costs, preparing the initial draft annual budget, performing the inventory and procurement for office supplies and equipment, facilitating the reimbursement and liquidation of expenses for the members of the Department
    • Maintain a repository of engagement letters and retainer agreements with external counsels and process the Requests for Payment for bills from external counsels;
    • Ensure the delivery of highly confidential and sensitive legal documents to concerned parties;
    • Perform and assist in other administrative functions and activities for the Department;
  4. Other duties and responsibilities:
    • Assist in the implementation of Integrated Management Systems (Quality, Occupational Health and Safety, Environmental, and Asset) and compliance to regulatory requirements; and
    • Perform other related duties that may be assigned by the AVP-Legal Affairs

Minimum Qualifications

  • Bachelor’s Degree in a 4-year course
  • Preferably, graduate of Legal Management, Business Management, Political Science, or has completed at units of coursework leading to a Juris Doctor degree or a Bachelor of Laws degree in the Philippines
  • At least 4 years relevant experience
  • Preferably with experience working as a paralegal in a power generation company
  • Legal writing and legal research skills
  • Working knowledge of substantive laws, legal procedures and legal terminology, especially those related to the energyindustry
  • Working knowledge of the process and procedures related to the business of the energy industry

WHAT WE DO Magat Hydro is one of the largest hydro facilities in Luzon, with a gross maximum capacity of 388 MW. It draws water from the Magat River through the multipurpose Magat Dam. Under the power restructuring law, the power facility was privatized in 2006. Following the successful bid of US$530 million, SNAP took over operations on April 26, 2007. The 8.5-MW Maris Hydro is the first power plant constructed by SNAP. Construction of the PHP2.5 billion run-of-river hydro plant took about two years—it broke ground in late 2015 and was completed in November 2017. Maris hydro utilizes water coming from Magat hydro. At its original capacity of 75 MW, Ambuklao Hydro was one of the first large hydroelectric power plants in the Philippines and is one of the oldest. In 2008, SNAP took over Ambuklao and the 100-MW Binga Plant after a winning bid of US$325 million under the privatization program. Ambuklao hydro re-operated in 2011 as a 105-MW power plant following its rehabilitation and upgrading. Binga Hydro was built in 1960 and lies 19 kilometers downstream of its sister facility, Ambuklao. It was bid out along with Ambuklao; but only the power components were privatized while the dams remain government-owned. Binga hydro underwent a refurbishment which began in 2010 and was completed in 2013. This increased the plant’s capacity from 100-125 MW. It is now capable of generating 140 MW after further uprating. With the advent of open access in the Philippines, customers with a monthly average peak demand of 750kW and above can choose a Retail Electricity Supplier through the Open Access market. SNAP-RES was formed into the group for the Retail Electricity Market. SNAP-RES continues to serve the needs of Contestable Customers by focusing on the requirements of each industry and delivering innovative solutions for each customer profile since 2011.
